Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of the issuer's common stock. This transaction represents the settlement of restricted stock units in shares of the issuer's common stock on their scheduled vesting date.

2. The issuer has withheld the number of whole shares necessary to satisfy the statutory tax withholding obligations. The value of the vested shares (and the taxable income) is calculated based on the closing price on the vesting date or next preceding trading date in the case that the vesting date is a non-trading date.

3. Each restricted stock unit represents a contingent right to receive one share of the issuer's common stock.

4. The restricted stock units vest in five equal annual installments beginning on the first anniversary of the date of grant.
