1. Distribution of shares from the Ball Corporation 2000 Deferred Compensation Plan due to retirement as an officer of the Company.

2. Common stock acquired upon the distribution of shares from the Ball Corporation 2000 Deferred Compensation Company Stock Plan which was transferred into the R. David Hoover Revocable Trust.

3. Shares withheld for payment of the tax obligation upon the distribution of 24,311 shares from the Ball Corporation 2000 Deferred Compensation Company Stock Plan.
