Explanation of Responses:

1. Represents restricted stock units granted as director fees. The restricted stock units vest on the earlier of (i) the one year anniversary of the grant date or (ii) the date of the Company's next annual shareholders meeting, in each case subject to Dr. Riggs' continued service on the Company's board of directors. Pursuant to Dr. Riggs' election, once vested, the settlement of these stock units will be deferred until the earlier of Dr. Riggs' termination of board service and a change in control of the Issuer.

2. These shares of common stock are held by the Riggs II Family Limited Partnership, the general partner of which is Riggs Management, Inc. Dr. Riggs, as the President and controlling shareholder of Riggs Management, Inc., may be deemed to have beneficial ownership of the shares held by the Riggs II Family Limited Partnership.

3. Dr. Riggs disclaims beneficial ownership of such shares except to the extent of any pecuniary interest therein and this report shall not be deemed an admission that he is the beneficial owner of such shares for purposes of Section 16 or any other purpose.

4. These shares of common stock are held by Riggs Overall Partners, LP, the general partner of which is Riggs Management, Inc. Dr. Riggs, as the President and controlling shareholder of Riggs Management, Inc., may be deemed to have beneficial ownership of the shares held by Riggs Overall Partners, LP.
