On February 25, 2016, the Company issued a press release announcing that its Board of Directors has determined that a competing bidder’s proposal to acquire the Company at a per-share price of $0.85 is a “Superior Offer.” A copy of the press release is attached to this Report as Exhibit 99.1 and is incorporated in this Report by reference.
