On behalf of GeneLink, Inc. (the “Company”), I am responding to the comments of the staff of the Division of Corporate Finance (the “Staff”) of the U.S. Securities and Exchange Commission set forth in the Staff’s letter of October 26, 2009 with respect to the Company’s Form 10-K for the fiscal year ended December 31, 2008 (the “Form 10-K”) and the quarterly Report on Form 10-Q for the fiscal quarter ended June 30, 2009 (the “Form 10-Q”). The Company concurrently is filing Amendment No. 1 to the Form 10-K (“Form 10-K/A”) and Amendment No. 1 to the Form 10-Q (“Form 10-Q/A”), which incorporate the revisions discussed below. For your convenience, each response below corresponds to the comment in bold that immediately precedes it, each of which has been reproduced from the Staff’s letter in the order presented.

The Company has filed the Company’s Amended Articles of Incorporation as Exhibit 3.1 to the Form 10-K/A in and filed the Letter Agreement with Dr. Ricciardi as Exhibit 10.1 to the Form 10-K/A.
