The reason for the delay is that ImageWare Systems, Inc. (the “Company”) has not yet completed its review of the accounting for the Company’s Amended Asset Purchase of Sol Logic, Inc. The Company is working with its outside auditors to complete such review as soon as possible and is unable to complete the review prior to the deadline without unreasonable effort or expense. The Company has filed a Form 12b-25 for an extension in connection with the delayed filing and expects to file its Form 10-Q on or before May 20, 2008, the fifth calendar day following its prescribed due date.
