Item 8.01 Other Events
On August 23, 2006, CCF Holding Company (the “Company”), the parent company of Heritage Bank, Jonesboro, Georgia, announced a three-for-two stock split of the Company’s common stock, with shares to be distributed on September 20, 2006 to shareholders of record as of September 6, 2006. The stock split will be accomplished by means of a 50% stock dividend. No fractional shares will be issued, and each shareholder entitled to a fractional share will receive an amount of cash based on the average bid/ask price of the stock as of September 6, 2006. A copy of the announcement is furnished as Exhibit 99.1.
