ITEM 4.01(b) | CHANGE IN REGISTRANT’S CERTIFYING ACCOUNTANT |
Effective January 1, 2009 Miller, Ellin & Company, LLP merged its practice into the practice of Rosen Seymour Shapss Martin & Company LLP (Rosen Seymour) which became our new principal accountant. Prior to the merger, the Company had not consulted with Rosen Seymour with respect to (i) the application of accounting principles to a specific transaction, either completed or proposed, (ii) the type of audit opinion that might be rendered on the Company’s financial statements, or (iii) any matter that was either the subject of a disagreement (as defined in Item 304(a)(1)(iv) of Regulation S-K) or a reportable event (as described in Item 304 (a)(1)(v) of Regulation S-K).
The Board of Directors of the Company has approved the change in accountants described herein.
The Company has requested Rosen Seymour to furnish it with a letter addressed to the Securities and Exchange Commission stating whether it agrees with the statements made above by the Company. A copy of such letter, dated February 23, 2009, is filed as Exhibit 16.1 to this Form 8-K.
