Item 5.05 – Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics
On May 29, 2008, the Board of Directors of Source Interlink Companies, Inc. (the “Company”) adopted the Code of Ethics attached as Exhibit 14.1 to this Current Report, effectively amending and restating the Company’s previous code of ethics for the purpose of focusing the Code’s provisions more directly on ethical issues, rather than compliance issues, and addressing journalistic ethics, the inclusion of which was necessitated by the Company’s August 2007 acquisition of Primedia Enthusiast Media, Inc. The Code of Ethics is applicable to all executive officers and all other employees and consultants of the Company and its subsidiaries, as well as to the Company’s directors.
