("Purchaser"), a wholly-owned subsidiary of Utz Quality Foods, LLC ("Parent"), pursuant to the terms of that certain Agreement and Plan of Merger, dated October 25, 2017, by and among the Issuer, Purchaser and Parent (the "Merger Agreement"). |
