Explanation of Responses:

1. Restricted Stock Units (RSUs) awarded on October 1, 2015 under the SunEdison 2015 Long Term Incentive Plan. The RSUs will vest 50% on the third anniversary of the grant date and 50% on the fourth anniversary of the grant date.

2. Non-Qualified Stock Options (Options) were granted under the SunEdison, Inc. 2015 Long Term Incentive Plan. The Options will vest in four equal installments beginning on the first anniversary of the grant date.
