Item 8.01. Other Events.
As previously disclosed by MEMC Electronic Materials, Inc. (the “Company”), in April 2007, BP Solar International, Inc. filed suit against the Company in the Circuit Court for Frederick County, Maryland alleging non-delivery of polysilicon powder under an alleged three year supply agreement. BP Solar claimed damages, based on various theories of recovery, of up to $140 million. MEMC has always maintained that no such long term supply agreement ever existed.
The case was tried before a jury and on July 31, 2009, the jury returned a verdict in favor of BP Solar, awarding damages of $8,849,447. MEMC intends to appeal the decision.
