Item 1.01 Entry into a Material Definitive Agreement.
National Atlantic Holdings Corporation announced that its subsidiary, Proformance Insurance Company, has entered into a replacement carrier transaction with The Hartford Financial Services Group. As part of the transaction, Hartford Fire Insurance Company, Hartford Casualty Insurance Company, and Twin City Fire Insurance Company, subsidiaries of The Hartford Financial Services, Inc. will transfer their renewal obligations for New Jersey homeowners, dwelling fire, and personal excess liability policies sold through independent agents to Proformance. On September 27, 2005, National Atlantic issued a press release on the transaction, which is attached as an exhibit.
