On December 18, 2009, Banner Corporation issued a press release announcing that it had terminated its common stock offering and that it plans to commence a new offering in 2010 after market conditions become more favorable and after it has released its operating results for the fourth quarter of 2009. A copy of the press release is attached as Exhibit 99.1 to this Form 8-K and incorporated herein by reference.
