Item 1.01. Entry into a Material Definitive Agreement.
On August 26, 2009, Alseres Pharmaceuticals, Inc. (“Alseres”) entered into a Securities Purchase Agreement (the “Securities Purchase Agreement”) to sell 12,000 shares of its Series F Convertible Preferred Stock, $0.01 par value per share (the “Series F Preferred Stock”), to Robert Gipson (the “Private Placement”). Alseres completed the Private Placement for gross proceeds of $300,000.
The foregoing summary of the terms of the Securities Purchase Agreement is subject to, and qualified in its entirety by, the Securities Purchase Agreement, which is attached to this Current Report on Form 8-K as Exhibit 10.7 and incorporated herein by reference.
Item 3.02. Unregistered Sales of Equity Securities.
On August 26, 2009, Alseres completed the sale of an aggregate of 12,000 shares of its Series F Preferred Stock, to Robert Gipson for gross proceeds of $300,000. The Series F Preferred Stock was offered and sold in the Private Placement to an accredited investor without registration under the Securities Act, or the securities laws of certain states, in reliance on the exemptions provided by Section 4(2) of the Securities Act and Regulation D promulgated thereunder and in reliance on similar exemptions under applicable state laws.
The rights, preferences and privileges of the Series F Preferred Stock are described in the Series F Certificate of Designations, Rights and Preferences filed with the Secretary of State of the State of Delaware on March 19, 2009.
