Item 8.01. Other Events.
Pricing of private placement of notes.
On March 7, 2005, we announced that we priced an offering of $380.0 million Floating Rate Senior Notes due 2012 and €150.0 million 8.625% Senior Notes due 2013 in a private placement.
A copy of the press release announcing the pricing of the private placement is attached hereto as Exhibit 99.1.
