At your request, we have examined the Registration Statement on Form S-3 (the “Registration Statement”) of Smith Micro Software, Inc., a Delaware corporation (the “Company”), filed with the Securities and Exchange Commission on May 31, 2006, relating to the registration under the Securities Act of 1933, as amended, of up to 384,897 shares of the Company’s common stock, $0.001 par value per share (the “Stock”), issued to certain selling security holders named in the Registration Statement.
