(b) Resignations of Philip Wm. Colburn and Bradley C. Richardson

On March 7, 2007, the Board of Directors of Proliance International, Inc. (the
"Company") accepted the resignations of Philip Wm. Colburn and Bradley C.
Richardson from their respective positions as a director of the Company,
effective May 4, 2007. The Board of Directors does not intend to fill the
vacancies created by the resignations of Messrs. Colburn and Richardson, as it
was the Company's intention to reduce the size of the Board over time. Messrs.
Colburn and Richardson offered to resign as part of this Board size reduction
initiative.
