Item 12. Results of Operations and Financial Condition.
On April 20, 2004, CheckFree Corporation (“CheckFree”) issued a press release announcing its financial results for the third quarter ended March 31, 2004, and its expectations for the fourth quarter ended June 30, 2004 and fiscal 2004 (the “Press Release”). Pursuant to General Instruction F of Form 8-K, a copy of the Press Release is furnished as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
