The compilation, dissemination and review of the information required to be presented in the Form 10-Q for the relevant period has imposed time constraints that have rendered timely filing of the Form 10-Q impracticable without undue hardship and expense to the registrant. The registrant undertakes the responsibility to file such report no later than five days after its original prescribed due date.

Revenues for the three and nine months ended September 30, 2009 are expected to be $7.1 million and $21.9 million, respectively, as compared to $8.5 million and $21.2 million for the three and nine months ended September 30, 2009, respectively. Gross profit for the three and nine months ended September 30, 2009 is expected to be $2.5 million and $7.8 million, respectively, as compared to $2.6 million and $5.9 million for the three and nine months ended September 30, 2008, respectively. The Company notes that as its financial statements have not yet been completed, its final reported results may be different than the expectations described herein.
The Company is unable to provide a reasonable estimate of operating expenses, other income or net loss for the three and nine months ended September 30, 2009 as the Company is in process of finalizing its impariment testing of goodwill and intangible assets and valuation of its liability warrants.
If so: attach an explanation of the anticipated change, both narratively and quantitatively, and, if appropriate, state the reasons why a reasonable estimate of the results cannot be made.
