Explanation of Responses:

1. Gift to unaffiliated third party.

2. Grant of Restricted Stock Units issued pursuant to the Issuer's 2014 Non-Employee Director Stock Award Plan. This grant will vest in full three years from the date of grant provided the Reporting Person is still serving as a director on such date.

3. Shares issued pursuant to the Issuer's 2014 Non-Employee Director Stock Award Plan in lieu of a cash payment of the annual director retainer.

4. Shares held in a custodian account pursuant to the Uniform Gifts to Minors Act, for the benefit of one of Reporting Person's child, of which the Reporting Person is the custodian.
