RISKMETRICS - ISS JOINS PROXY GOVERNANCE IN REAFFIRMING
SUPPORT FOR TEXAS INDUSTRIES NOMINEES
FOR BOARD OF DIRECTORS
Dallas, Texas - October 20, 2008 - Texas Industries, Inc. (NYSE: TXI) today announced that Riskmetrics Group (formerly known as ISS) has reaffirmed its recommendation that Texas Industries’ shareholders voteFORTexas Industries’ slate of directors. Texas Industries, Inc. announced last week that PROXY Governance, Inc., another major independent proxy advisory firm, likewise reaffirmed its recommendation to vote FOR the Texas Industries director nominees standing for re-election.
In its report released October 17, 2008, RiskMetrics Group stated: “We maintain our FOR vote recommendation for the election of the two incumbent directors.”
Mel Brekhus, President and Chief Executive Officer of Texas Industries, said, “We are very pleased that both RiskMetrics and PROXY Governance – after hearing from both the Company and from the shareholder opposing our directors – reaffirmed their support for the Board’s two nominees following their careful review of the situation.”
