Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

(a) Amendment of By-Laws

On July 8, 2021, the Board of Directors of Thermo Fisher Scientific Inc. (the “Company”) amended and restated the Company’s By-Laws, effective immediately, to reduce the percentage of shareholders required to call a special meeting of stockholders from 25 percent to 15 percent. The Board made no other changes to the Company's By-Laws. A copy of the Amended and Restated By-Laws is attached hereto as Exhibit 3.1 and is incorporated by reference herein.
