Item 8.01 Other Events.
The Board of Directors of TSR, Inc. has authorized a stock repurchase program of up to $500,000 of the Company’s outstanding common stock, par value $0.01 per share. The stock repurchase program shall commence two business days after the filing of this Form 8-K and is authorized for the next twelve months.
The shares may be repurchased from time to time in open market transactions at prevailing market prices, in privately negotiated transactions, or by other means in accordance with federal securities laws. The actual timing, number and value of shares repurchased under the program will be determined by the Board of Directors at its discretion and will depend on a number of factors, including the market price of Company’s stock, general market and economic conditions, and applicable legal and contractual requirements. TSR has no obligation or commitment to repurchase all or any portion of the shares covered by this authorization.
