(the “Company,” “we,” “our,” or “us”) is filing this Amendment No. 1 on Form 10-Q/A (“Amendment No. 1”) to amend the Company’s Quarterly Report on Form 10-Q for the quarter ended August 31, 2023, filed with the U.S. Securities and Exchange Commission on October 11, 2023 (the “Quarterly Report”).BackgroundOn August 25, 2023, the Compensation Committee (the “Compensation Committee”) of the Board of Directors (the “Board”) of the Company approved the payment of cash bonuses to the Company’s directors and certain of the Company’s executive officers in the event that a Sale of the Business occurs during the term of such directors’ service on the Board and such executive officers’ employment with the Company, respectively (each, a “Transaction Bonus”).As a result of an inadvertent error, the Transaction Bonuses were not disclosed in the Quarterly Report. The Company is filing this Amendment No. 1 for the purpose of disclosing the terms of such Transaction Bonuses.Items Amended in this Amendment No. 1The following items are amended and restated in their entirety in this Amendment: (i) Part II, Item 5 (“Other Information”); and (ii) Part II, Item 6 (“Exhibits”). Except as described in the preceding sentence, this Amendment No. 1 does not amend, update, or change any other information in the Quarterly Report.
