Item 2.02                   Results of Operations and Financial Condition.

On July 29, 2014, Transcat, Inc. (the “Company”) issued a press release announcing its financial results for its fiscal year 2015 first quarter ended June 28, 2014. The press release is attached to this Form 8-K as Exhibit 99.1.

On July 30, 2014, the Company posted slides to the Investor Relations section of its website that will accompany the Company’s earnings conference call and webcast at 11:00 a.m. Eastern Time on July 30, 2014. The slides are attached to this Form 8-K as Exhibit 99.2.
