Item 2.02    Results of Operations and Financial Condition.

On May 19, 2015, Transcat, Inc. (the “Company”) issued a press release announcing its financial results for its fiscal year 2015 fourth quarter and year ended March 28, 2015. The press release is attached to this Form 8-K as Exhibit 99.1.

In addition, on May 19, 2015, the Company posted slides to the Investor Relations section of its website that will accompany the Company’s earnings conference call and webcast at 11:00 a.m. Eastern Time on May 20, 2015. The slides are attached to this Form 8-K as Exhibit 99.2.
