This represents a grant of 13,812.50 and 11,187.50 performance-based Restricted Stock Units (RSUs) awarded on August 22, 2017 and March 20, 2018, respectively, for which the performance-based condition was satisfied on August 2, 2018. The RSUs are scheduled to vest on March 31, 2019. This Form is being filed late due to inadvertent administrative error.
