On January 27, 2025, Barnes Group Inc., a Delaware corporation (“Barnes”), completed the previously announced merger of Goat Merger Sub, Inc., a Delaware corporation (“Merger Sub”) and a wholly owned subsidiary of Goat Holdco, LLC, a Delaware limited liability company (“Parent”), with and into Barnes (the “Merger”), with Barnes surviving the Merger as a wholly owned subsidiary of Parent. The Merger was effectuated pursuant to the Agreement and Plan of Merger, dated as of October 6, 2024, by and among Barnes, Parent and Merger Sub.
