Set forth below are the Company’s responses to the Staff’s comments. The number of the responses and the headings set forth below correspond to the numbered comments and headings on the letter from the Staff. Simultaneously with this letter, the Company is filing pre-effective Amendment No. 1 to the Registration Statement on Form S-4 to reflect the Company’s responses to the Staff’s comments. We also enclose for your convenience a marked copy of pre-effective Amendment No. 1 to the Registration Statement on Form S-4.
General
1. | As currently represented, the offer could be open for less than 20 full business days due to the 5:00 p.m. expiration time instead of an expiration time of midnight on what ultimately may be the twentieth business day following commencement. See Question and Answer Eight in Exchange Act Release No. 16623 (March 5, 1980). Please confirm that the offer will be open at least through midnight on the twentieth business day. See Rule 14d-1(g)(3). |
Response: The Company confirms that the offer will expire at 5:00 p.m., New York City time, on the twenty-first business day following commencement.

With respect to matters governed by Michigan, Ohio, Pennsylvania, South Carolina and Utah, legal counsel in its Exhibit 5.1 opinion relied on opinion of local counsel. Such local counsel opinions have been filed concurrently with Amendment No. 1 as Exhibits 5.2 through 5.6.
