Set forth below are the Company’s responses to the Staff’s comments. The number of the responses and the headings set forth below correspond to the numbered comments and headings on the letter from the Staff. Simultaneously with this letter, the Company is filing pre-effective Amendment No. 2 to the Registration Statement on Form S-4 to reflect the Company’s responses to the Staff’s comments. Please make conforming changes to your letter of transmittal (Exhibit 99.1), e.g., on pages two and 10. |
