Item 8.01 Other Events.
On September 18, 2006, a purported shareholder class action complaint was filed on behalf of shareholders who purchased common stock of Connetics Corporation, or Connetics, between June 28, 2004 and May 3, 2006, alleging violations of Sections 10(b) and 20(a) of the Securities Exchange Act of 1934. The case names Connetics and certain of its current and former executive officers as defendants, is entitled Plumbers’ & Pipefitters’ Local #562 Pension Fund v. Connetics Corporation, et al, and is pending in the United States District Court, Northern District of California. Connetics believes it has meritorious defenses to this complaint. Connetics does not currently expect to provide updates in the event other similar complaints are filed.
