Item 5. Other Events and Regulation FD Disclosure.
On July 9, 2003, the Mohegan Tribal Gaming Authority (the “Authority”) issued a press release relating to the closing on the same date of a Rule 144A private placement of $330 million, 6 3/8% senior subordinated notes due in 2009. The Authority intends to use the net proceeds from this offering to repurchase or defease all of its outstanding 8 3/4% senior subordinated notes due in 2009 pursuant to the Authority’s cash tender offer and consent solicitation previously announced on June 19, 2003. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. This press release may also be found on the Authority’s website atwww.mohegansun.com, under “About Us/Investor Relations”.
