Item 7.01 Regulation FD Disclosure.
On November 7, 2013, Salix Pharmaceuticals, Ltd. (the “Company”) and Santarus, Inc. (“Santarus”), among others, entered into an Agreement and Plan of Merger (the “Merger Agreement”), pursuant to which the Company and one of its indirect wholly owned subsidiaries agreed to conduct a cash tender offer to purchase all of the issued and outstanding shares of Santarus common stock for $32.00 per share in cash (the “Offer”). Following successful completion of the Offer, the Company will acquire all of the remaining shares of Santarus common stock at the same price per share paid in the Offer through the merger (the “Merger”) of a subsidiary of the Company with and into Santarus, with the result that Santarus will become a wholly owned indirect subsidiary of the Company. The consummation of the Offer is subject to various conditions, including a minimum tender of at least a majority of the outstanding shares of Santarus common stock on a fully diluted basis, the expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act and other customary closing conditions. The material terms of the Merger Agreement are disclosed along with other information relating to the transaction in the Company’s Current Report on Form 8-K that was filed with the U.S. Securities and Exchange Commission (the “SEC”) on November 7, 2013.
