Item 7.01 Regulation FD Disclosure.
On August 8, 2005 TLC Vision Corporation announced the commencement of its stock buy back plan. Under the buy back plan TLC Vision Corporation will purchase up to 2 million shares of its common shares currently outstanding.

On August 8, 2005 TLC Vision Corporation issued a press release announcing the commencement of a stock purchase buy back plan. The press release is furnished as Exhibit 99.1 and is attached hereto.
