(d) On September 21, 2007, the Board of Directors of Chiquita Brands International, Inc. elected a new director, Howard W. Barker, Jr. Mr. Barker, age 60, was employed by KPMG LLP from July 1972 and served as a partner of KPMG LLP from July 1982 until he retired in September 2002. He is a member of the American Institute of Certified Public Accountants, the Connecticut Society of Certified Public Accountants and the Florida Institute of Certified Public Accountants. Mr. Barker has been appointed to serve on Chiquita’s Audit Committee. He will receive Chiquita’s standard compensation package for non-employee directors, which is described in the Company’s proxy statement for its 2007 Annual Meeting of Shareholders in the section entitled "Compensation of Directors – Annual Compensation of Non-Employee Directors." Mr. Barker is also a director of priceline.com Incorporated and Medco Health Solutions, Inc.
