(d) On December 15, 2004, the Board of Directors of the registrant appointed Robert J. Brown to fill a vacancy on the Board. Mr. Brown, age 69, has served as Chairman and Chief Executive Officer of B&C Associates, Inc., a marketing research and public relations firm, since 1973. He is also a director of Duke Energy Corporation, Wachovia Corporation, Sonoco Products Company and AutoNation, Inc.
