Item 1.01. Entry into a Material Definitive Agreement.
On September 18, 2006, the Board of Directors (the “Board”) of HealthTronics, Inc. (the “Company”) amended the terms of the Board’s compensation by reducing the annual cash retainer for non-management Board members from $60,000 to $40,000. This change in Board compensation will be effective October 1, 2006. No other changes were made to the terms of the Board’s compensation.
