Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(e) On December 5, 2006, the Board of Directors (the “Board”) of HealthTronics, Inc. (the “Company”) approved (i) an increase to the annual salary of James S.B. Whittenburg, the Company’s President-Urology Services, from $285,000 to $302,400 and (ii) an increase to the annual salary of Christopher B. Schneider, the Company’s President-Medical Products, from $225,000 to $247,500. In addition, on December 18, 2006, the Board approved an increase in the annual salary of Sam B. Humphries, the Company’s President and Chief Executive Officer, from $380,000 to $400,000. The salary increases were effective as of January 1, 2007.
