Item 1.01. Entry into a Material Definitive Agreement
Director Compensation
At a meeting of the Nominating and Corporate Governance Committee of the Board of Directors of Guitar Center, Inc. (the “Company”) held on August 2, 2006, the committee adopted an amendment to the Company’s policy on compensation of non-employee directors. The amendment provides that the amount non-employee directors receive as a quarterly retainer for their services as a director has increased from $5,000 to $12,500, and further provides that non-employee directors no longer receive a fee in connection with attendance at board or committee meetings. The amendment is effective for quarters beginning July 1, 2006.
