Item 1.01. Entry into a Material Definitive Agreement
Executive Compensation
On August 23, 2006, Guitar Center, Inc. approved an increase in the base salary of its Chief Financial Officer, Erick Mason, from $320,000 to $350,000. The increase is effective from August 1, 2006.
