Item 1.01. Entry into a Material Definitive Agreement
First Amendment to Lease. On June 1, 2007, Guitar Center, Inc., entered into a First Amendment to Lease with 5795 Lindero Canyon, L.P. The First Amendment to Lease amends the company’s lease agreement for a portion of its corporate headquarters located at 5795 Lindero Canyon Road, Westlake Village, California, dated December 15, 2001, to (i) extend the term of the lease for a period of eight years, with a new expiration date of April 14, 2017, (ii) adjust the base rent payable during the extension period, (iii) provide the company with two options to further extend the lease, each with an option period of five years, and (iv) provide the company with a right of first refusal to purchase the property.
