On September 18, 2007, Guitar Center, Inc. issued a press release announcing that at a special meeting of stockholders held on September 18, 2007, its stockholders approved the proposed merger of Guitar Center, Inc. with an affiliate of Bain Capital Partners, LLC. A copy of the press release is attached as Exhibit 99.1.
