Item 1.01. Entry into a Material Definitive Agreement.
On October 6, 2005, West Corporation (the “Company”) entered into an Indemnity Agreement (the “Indemnity Agreement”) with Gary L. West and Mary E. West (the “Selling Stockholders”), in connection with the sale of 5,000,000 shares of the Company’s common stock by the Selling Stockholders, pursuant to the Underwriting Agreement described in Item 8.01 below.
The foregoing description of the Indemnity Agreement does not purport to be complete and is qualified in its entirety by reference to the full text of the Indemnity Agreement, a copy of which is filed herewith as Exhibit 1.1 and is incorporated herein by reference.
Item 8.01. Other Events.
On October 6, 2005, the Company entered into an Underwriting Agreement (the “Underwriting Agreement”) with the Selling Stockholders and Goldman, Sachs & Co., as representative of the several underwriters named in Schedule I thereto, in connection with the sale of 5,000,000 shares of the Company’s common stock by the Selling Stockholders, at a price per share of $35.00, less an underwriting discount of $1.40 per share. The Selling Stockholders are offering all of the shares and the Company will not receive any of the proceeds of the offering. The Selling Stockholders offered the common stock pursuant to a prospectus supplement and the accompanying base prospectus filed with the SEC pursuant to Rule 424(b)(5) of the Securities Act of 1933 in connection with a shelf takedown from the Company’s shelf registration statement of Form S-3 dated September 23, 2005 (File No. 333-127965).
