Item 1.01 Entry into a Material Definitive Agreement
On December 30, 2005, the Board of Directors of West Corporation (the “Company”) approved changes to its compensation plan for its independent directors. In addition to such other compensation as has previously been approved for the independent directors (including the annual retainer of $45,000, a payment of $12,000 for attendance at the Company’s annual financial review meeting) as of January 1, 2006, the independent directors’ will also receive $1,000 for each Board meeting (other than the scheduled Board meetings as agreed upon annually by the Board) and each special committee meeting (other than audit committee or compensation committee meetings) attended. The Board also approved the participation of such directors in the Company’s health and dental plans.
