Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(d) On January 23, 2008, the Board of Directors of the Registrant elected Timothy Marvil to the Board commencing February 1, 2008. Mr. Marvil will serve on the Compensation Committee of the Board and will stand for election at the next annual meeting of shareholders in April 2008. Mr. Marvil has previously served as a director of Sussex Bank, a wholly-owned subsidiary of the Registrant, since 2001.
