Annual Meeting Adjournment
OFG BANCORP
On March 11, 2020, OFG Bancorp (the “Company”) filed a definitive proxy statement with the Securities and Exchange Commission in connection with its 2020 Annual Meeting of Shareholders, which was convened and immediately adjourned on April 22, 2020 until May 20, 2020 (the “Annual Meeting”). On May 18, 2020, the Company issued a press release announcing its intention to adjourn the Annual Meeting for a second time until June 1, 2020 at 2:00 PM (Eastern Time) and, considering the public health concerns regardingCOVID-19 and the restrictions imposed by federal, state and local governments, to hold the Annual Meeting solely by means of remote communication, in a virtual meeting format only. Attached is a copy of the press release. The Company is providing this supplement to broadly disseminate that information.
OFG Bancorp to Adjourn Physical Annual Meeting and Hold Virtual One
SAN JUAN, Puerto Rico, May 18, 2020 – OFG Bancorp (NYSE: OFG) today announced that due to continued public health concerns and government actions related to theCovid-19 pandemic, it plans to convene and immediately adjourn its upcoming annual meeting, and hold a virtual one at a later date. OFG’s meeting is scheduled for 10:00 AM ET, Wednesday, May 20, 2020, at Oriental Center, 254 Muñoz Rivera Avenue, Ground Floor, San Juan. Stockholders should comply with applicable restrictions and not attend. The record date remains February 27, 2020. The virtual annual meeting is planned for 2:00 PM ET, Monday, June 1, 2020.
