MATERIAL FACT
Companhia Brasileira de Distribuição (“GPA”), pursuant to Federal Law 6,404/76 and CVM Instruction 358/02 and in continuation of the Material Fact notices disclosed on March 5, May 29 and July 29, 2020, hereby informs its shareholders and the market that on this date it concluded the sale of 16 more properties (“Third tranche”), which are the object of the “"Private Commitment for the Purchase and Sale of Properties and the Establishment of Real Surface Rights” entered into with TRX Real Estate Fundo de Investimento Imobiliário and TRX Real Estate II Fundo de Investimento Imobiliário (“TRX funds”), managed by TRX Gestora de Recursos LTDA. (“Contract”).
The third tranche involved the payment of R$446,285,628.01, and consisted of four properties of the Assaí banner (Santo André/SP, Campinas/SP, Paulínia/SP and Piracicaba/SP), one Extra Hiper store (Recife/PE), one Mercado Extra store (Praia Grande/SP) and 10 Pão de Açúcar stores (Goiânia/GO, Brasília/DF, Aracaju/SE, São Caetano/SP, Santo André/SP, Ribeirão Preto/SP, São José do Rio Preto/SP and São Paulo/SP) (“Properties”).
Among the 43 properties envisaged in the contract, GPA has thus concluded the sale of 28 properties: 5 in the first tranche (May 29, 2020), 7 in the second tranche (June 29, 2020) and 16 in the third tranche (July 22, 2020), totaling R$949,701,530.95. Two properties were excluded, whose values were not relevant for the transaction, with 13 properties remaining to be sold pursuant to the contract.
In this regard, a down payment of R$15,000,000.00 will be made on July 30, 2020 related to the sale of the 13 remaining properties, totaling R$260,656,415.94, which will be transferred by August 30, 2020 (“Fourth tranche”).
With this, GPA will have concluded the sale of 41 properties to TRX funds for a total amount of R$1,210,357,946.89.
The global plan for the monetization of real estate assets has already monetized R$1.9 billion, with R$1.580 billion already received by GPA and R$283 million still receivable (R$260 million expected by the end of August 2020).
GPA will keep the market and its shareholders informed of further developments in this regard.
