Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On August 19, 2005, the Secretary of State of Nevada, after receipt of (i) a certificate of amendment, (ii) the written consent of a majority of our shareholders, and (iii) a resolution unanimously adopted by our board of directors, amended Article One of our Articles of Incorporation such that the name of the company is now China Media Networks International, Inc.

On August 19, 2005, the CUSIP Services Bureau of Standard & Poors issued the company a new CUSIP Number: 169433 10 9
