Item 2.01 | Completion of Acquisition | |
Effective November 1, 2006, Building Materials Holding Corporation’s wholly owned subsidiary, SelectBuild Construction, Inc., acquired the remaining 49% of BBP Companies for approximately $32.1 million in cash. The purchase price is subject to adjustment and will be paid in January 2007.
We acquired the initial 51% of BBP Companies in July 2005. BBP Companies provides concrete services to high-volume production homebuilders in Arizona. Sales were approximately $139 million for the twelve months ended September 30, 2006.
